1. Eligibility

You may only participate in the Program if you are eligible to use, and a registered user of, Hyperagent pursuant to the ToS.  In addition, you must have: (i) demonstrated experience building with AI agents, such as having agents deployed in production, shipped workflows, or meaningfully used frontier agent platforms; (ii) a substantive and specific plan for operating your business or organization in an agent-first manner; and (iii) relevant experience or domain expertise related to a proposed Hyperagent use case (collectively, the “AI Eligibility Requirements”).

Employees, contractors, officers, and directors of Sponsor or its affiliates and subsidiaries, and their respective immediate family members and household members, are not eligible to participate.

Void where prohibited by law.

2. Program Period

The Program begins on April 29, 2026 at 12:00:00 a.m. Pacific Daylight Time (“PDT”) and ends at 11:59:59 p.m. PDT on May 31, 2026 (the “Program Period”), unless earlier terminated or extended by Sponsor in its sole discretion.

3. How to Qualify

To receive Credits under the Program, you must: (i) before the end of the Program Period, submit the Program application form at https://airtable.com/appc7B31aJRNN5e7C/pag9565fPrjrKF76G/form (the “Application Form”) with information sufficient to demonstrate fulfillment of the AI Eligibility Requirements, as determined by Sponsor in its sole discretion; and (ii) complete a one-time purchase of $200.00 through Hyperagent to activate your Credits.

You are limited to one (1) application.  Each employer, organization, company, or other entity on whose behalf you are using Hyperagent is limited to one (1) application, regardless of the number of individuals submitting on its behalf.  Any attempt to circumvent these application limits — including by submitting multiple applications under different names, email addresses, or Hyperagent accounts, or by any other means — will result in disqualification of all associated applications.

4. Credit Awards

Subject to these Offer Terms and availability, the first 500 qualifying participants will each receive access to $20,000 in Credits for a discounted subscription fee of $200.00 for the first year. Sponsor will award no more than $10,000,000 in Credits, in aggregate, under the Program.

Credits are awarded on a first-come, first-qualified basis. Credits will not be awarded if you fail to satisfy the qualification criteria or if no more Credits are available under the Program.

You will be notified by email within ten (10) business days following Sponsor’s verification that the qualification criteria have been satisfied.

5. Credit Terms and Restrictions

Credits awarded under the Program may be applied only through the Hyperagent product and will be consumed in accordance with Hyperagent’s standard procedures, as updated from time to time.  

Sponsor has sole and absolute discretion to calculate, track, and determine inference credit consumption and any remaining balances.

Credits will expire one year after they are awarded, or upon expiration or termination of your Hyperagent account.

Credits have no currency or exchange value, and are not transferable or refundable.

6. General

Sponsor reserves the right to modify, suspend, or terminate the Program at any time and for any reason, with or without notice, and to disqualify you if, in Sponsor’s sole and absolute discretion, you provide false information or violate these Offer Terms or the ToS. In the event of Program termination, Sponsor will award Credits to participants who fully satisfied all qualification criteria prior to the termination date, subject to availability.
